1. Acceptance of These Terms

These Terms of Use (the "Terms") govern your access to and use of www.equitystock.com (the "Site"), operated by Equity Stock Transfer, LLC ("EST," "we," "us"), a Nant Global Finance company. By using the Site, you agree to these Terms and to our Privacy Policy, Cookie Policy, and Disclaimer, each of which is incorporated by reference. If you do not agree, do not use the Site.

2. The Site and the Portals Are Different Things

The Site is an informational website. The shareholder portal (my.equitystock.com), the issuer portal, and any other transactional systems are separate services governed by their own terms, agreements, and enrollment conditions, including the service agreements between EST and its issuer clients. If there is a conflict between these Terms and a signed agreement or portal terms, the signed agreement or portal terms control for that service.

3. Permitted Use

You may use the Site for lawful, informational purposes. You agree not to:

  • use the Site in violation of any law or regulation, or to infringe the rights of others;
  • attempt to gain unauthorized access to any system, account, or data, or probe, scan, or test the vulnerability of the Site except as permitted by our Vulnerability Disclosure Policy;
  • interfere with the operation of the Site, including by introducing malicious code or imposing an unreasonable load on our infrastructure;
  • scrape, harvest, or bulk-download content or data, including by automated means, without our prior written consent;
  • impersonate any person or entity, or misrepresent your affiliation with EST or any issuer.

4. Intellectual Property

The Site and its contents — text, graphics, logos, page designs, and software — are owned by or licensed to EST and are protected by copyright, trademark, and other laws. "Equity Stock Transfer," "BlockAgent," and associated logos are marks of EST or its affiliates; Nant Global Finance marks are used with permission. We grant you a limited, revocable, non-exclusive license to view and print Site content for your personal or internal business use. All other rights are reserved. Third-party marks appearing on the Site belong to their respective owners.

5. No Advice; No Offer

Site content is general information, not investment, legal, tax, or accounting advice, and is not an offer or solicitation with respect to any security. See our Disclaimer, which forms part of these Terms.

6. Third-Party Content and Links

The Site may link to third-party websites and display materials prepared by issuers or other third parties. We do not control and are not responsible for their content, availability, or practices. Linking does not imply endorsement.

7. Disclaimer of Warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, EST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EST AND ITS PARENTS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND DO NOT LIMIT ANY OBLIGATION EST OWES UNDER A SIGNED SERVICE AGREEMENT OR APPLICABLE TRANSFER AGENT REGULATION.

9. Indemnification

You agree to indemnify and hold harmless EST and its parents, affiliates, officers, directors, employees, and agents from claims, losses, and expenses (including reasonable attorneys’ fees) arising out of your violation of these Terms or misuse of the Site.

10. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any dispute arising out of these Terms or the Site will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction.

11. Changes; Termination; Miscellaneous

We may modify these Terms at any time by posting the revised version with an updated effective date; your continued use after posting constitutes acceptance. We may suspend or terminate access to the Site at any time. If any provision of these Terms is unenforceable, the remainder will continue in effect. These Terms, together with the policies incorporated by reference, are the entire agreement between you and EST regarding use of the Site.
