Senior Operations Specialist — Crowdfunding
Run the operational engine behind equity crowdfunding: Reg CF and Reg A issuers, from first close to DTC. A senior seat working directly with our Director of Operations, for an operator who already knows the register is the product.
What the role involves.
EST was built on the market side of the register, and nowhere is that more visible than in crowdfunded offerings, where a company’s first thousand shareholders arrive at once and the register has to be right from day one. This is a senior operations seat with a specific mandate: own the crowdfunding side of the desk while working directly alongside our Director of Operations across everything else — transfers, corporate actions, proxy, and register integrity. You will learn the full desk from one of the most experienced operators in the industry, and she will gain a counterpart who brings depth she can hand work to without looking back.
This is not a training role. We are hiring someone who has done this work at a high level and wants the wider scope, the direct issuer contact, and the trajectory that a small firm doing consequential work can offer.
The EST hiring bar.
Every EST hire, in every seat, meets three tests: exceptional technical ability, a deep command of the compliance obligations of their area of expertise, and fluency with modern tools, including AI, applied with the judgment regulated shareholder data demands. We are a small firm doing consequential work; the bar does not flex.
Responsibilities.
- Onboard Regulation CF and Regulation A issuers: establish the register from funding portal and escrow data, reconcile subscriptions against closings, and stand up book-entry (DRS) positions cleanly.
- Serve as the transfer agent’s operational point of contact with funding portals, escrow agents, broker-dealers, and issuer counsel through initial and rolling closings, including Regulation A Tier 2 continuous offerings.
- Process transfers, issuances, cancellations, and restriction management across crowdfunded and conventional registers; support corporate actions from dividends through reorganizations.
- Build and maintain the Excel reconciliation models the desk runs on: subscription-to-register ties, closing schedules, share ledger audits, and issuer-facing reporting.
- Support DTC eligibility, FAST balancing, and DWAC processing as crowdfunded issuers graduate toward quoted and listed markets.
- Shadow the Director of Operations across the full operations calendar, including annual meeting and proxy cycles, and progressively take ownership of workstreams.
- Document processes as you go, so the desk’s knowledge lives in procedures rather than only in people.
- Handle escalated shareholder and issuer inquiries with the standard we hold ourselves to: when someone reaches EST, they reach someone who can act.
Requirements.
- Exceptional Microsoft Excel proficiency. This is a hard requirement and we test for it. You should be fluent in lookup architecture (INDEX/MATCH and beyond), pivot tables, Power Query, and building auditable reconciliation models from large, messy datasets such as funding portal exports and cap tables.
- Command of the JOBS Act framework. Working knowledge of Regulation CF and Regulation A (Tier 1 and Tier 2), and a precise understanding of the transfer agent’s role in equity crowdfunded transactions, including why engaging a registered transfer agent is a condition of the Exchange Act Section 12(g) conditional exemption on which Reg CF issuers rely.
- 7+ years in transfer agent, securities operations, or closely related back-office roles, with demonstrated ownership of registers, closings, or corporate actions.
- The judgment to work independently on deadline-driven, zero-defect work, and the temperament to ask before improvising when the register is at stake.
- Fluency with modern technical tooling, including AI-assisted workflows for reconciliation, document review, and drafting, applied with the judgment regulated shareholder data demands.
- Preferred: experience with major transfer agent recordkeeping platforms, DTC operational workflows (FAST, DWAC, DRS), and crowdfunding portal data formats.
What you get.
- Health, dental, and PTO.
- A seat next to the Director of Operations, not a lane in a back office; your work touches the market daily.
- The crowdfunding franchise of the transfer agent Wall Street built, at the moment the Nant Global Finance chapter is scaling it.
- Office at 237 West 37th Street, New York.
Founded by a trader, not a filing.
EST was founded on the trading floor at E*TRADE Securities, and that shows up in how the register team works today — a record date is treated like a market event, not a checklist line item. You'll be part of a small, senior team out of our Manhattan office, where the person who took the shareholder's call is often the same person who fixes the ledger.
